License Agreement and Terms of Service

1. License Grant

RigTracer LLC ("RigTracer," "we," "our," "us") grants you ("you," "your," "Customer") a limited, non-exclusive, non-transferable license to access and use the RigTracer software platform (the "Service") for managing field service operations, tickets, customers, and related business data, subject to these Terms of Service.

2. Acceptable Use

You agree not to:

• • Use the Service for any illegal, unauthorized, or unethical purpose;
• • Share, resell, or sublicense access to your account;
• • Attempt to copy, decompile, reverse-engineer, or otherwise modify any part of the Service;
• • Upload or transmit any viruses, malware, or harmful code;
• • Misrepresent your identity or affiliation when using the Service; or
• • Use the Service in a manner that could damage, disable, or impair our servers or networks.

RigTracer LLC reserves the right to suspend or terminate any account found to be in violation of this policy.

3. Data Ownership and Privacy

You retain ownership of all data, files, and information that you upload to the Service ("Customer Data"). By using RigTracer, you grant us permission to store, process, and transmit your Customer Data solely for the purpose of operating, maintaining, and improving the Service. RigTracer LLC will never sell, lease, or share your Customer Data with third parties, except: (1) to comply with legal obligations; or (2) to provide essential Service functions (e.g., secure payment processing, cloud hosting, or analytics). Upon written request, we will make commercially reasonable efforts to assist you in exporting your data.

4. Billing and Subscriptions

All payments are processed securely through Stripe or other designated payment processors. Subscription fees are billed according to your selected plan and are non-refundable once processed. You may cancel your subscription at any time; access will remain active until the end of the current billing cycle. RigTracer LLC reserves the right to suspend or terminate accounts for non-payment or for violation of these Terms.

5. Service Availability

RigTracer LLC strives for 99% uptime. However, we may perform routine or emergency maintenance without prior notice. We are not liable for losses, damages, or delays resulting from temporary unavailability or performance issues of the Service.

6. Security and Account Responsibility

RigTracer LLC uses industry-standard encryption, authentication, and data isolation practices to protect your information. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You must notify us immediately if you believe your account has been accessed without authorization.

7. Termination

We may suspend or terminate your access to the Service if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or pose a risk to other users or to the integrity of the Service. Upon termination, your access will be revoked. Your Customer Data may be retained for legal or audit purposes as required by law.

8. Data Retention and Deletion

Upon cancellation or termination, your Customer Data will remain accessible for 30 days for export. After that period, RigTracer LLC may permanently delete your data from its systems, except where retention is required by law. We are not responsible for any loss of data following this 30-day period.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory. RigTracer LLC expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

10. Limitation of Liability

To the fullest extent permitted by law: (1) RigTracer LLC shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to loss of profits, data, or goodwill; and (2) RigTracer LLC's total cumulative liability for all claims arising from or related to the Service shall not exceed the total fees paid by you to RigTracer LLC during the twelve (12) months preceding the event giving rise to the claim. These limitations apply regardless of the legal theory and even if RigTracer LLC has been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless RigTracer LLC, its affiliates, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use or misuse of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. No Professional Advice

RigTracer LLC does not provide accounting, legal, regulatory, or compliance advice. The Service is provided as a documentation and management tool only. You are solely responsible for ensuring compliance with applicable laws, regulations, and contractual requirements.

13. Force Majeure

RigTracer LLC shall not be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet outages, or governmental actions.

14. Governing Law and Venue

These Terms are governed by and construed under the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising from or related to these Terms shall be resolved exclusively in the state or federal courts of Montgomery County, Texas, and you consent to personal jurisdiction therein.

15. Updates to These Terms

RigTracer LLC may modify these Terms from time to time. We will notify users of significant updates via email or in-app notification. Your continued use of the Service after such updates constitutes your acceptance of the revised Terms.
